By engaging Vesa Studios for any design or digital service — whether through WhatsApp, email, or any other channel — you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

These terms apply to all clients, projects, and services provided by Vesa Studios, a creative branding and design studio based in Pune, Maharashtra, India.

If you do not agree to any part of these terms, please refrain from engaging our services. Proceeding with a project constitutes full acceptance of these terms.

Vesa Studios provides the following creative and digital services:

• Brand Identity Design — logos, color palettes, typography systems, brand guidelines
• Website Design & Development — custom HTML/CSS/JS websites
• Social Media Kit Design — post templates, story templates, profile art
• Print & Collateral Design — visiting cards, letterheads, brochures, banners
• WhatsApp Automation — bot setup, auto-replies, broadcast campaigns
• AI Integration — chatbot setup, lead qualification, smart reply systems

The exact scope of each project will be agreed upon before work begins. Any additional requests outside the agreed scope may incur additional charges.

• Payments are accepted via UPI, bank transfer, or other mutually agreed methods
• All prices are quoted in Indian Rupees (INR) unless stated otherwise
• Invoices are to be paid within 3 business days of issuance
• Final deliverables will only be released upon receipt of full payment
• Prices are subject to change for new projects; existing agreed prices remain fixed

Non-payment or delayed payment may result in work being paused or cancelled. Vesa Studios reserves the right to withhold all deliverables until payment is received in full.

Each project includes a set number of revision rounds as agreed upon in the project brief. Revisions refer to minor adjustments to the approved design direction — not a complete redesign.

• Revision requests must be submitted clearly in writing via WhatsApp or email
• Revisions beyond the agreed number will be billed at an hourly or per-revision rate
• A redesign or change in direction after concept approval is considered a new project
• Feedback should be consolidated — multiple rounds of scattered feedback may count as separate revisions

We encourage all feedback to be specific and actionable. Vague feedback like "make it better" may result in delays or additional charges.

Upon receipt of full payment, the client receives full ownership of all final approved design files created specifically for their project.

• Vesa Studios retains the right to display completed work in our portfolio, on social media, and in marketing materials unless the client requests otherwise in writing
• All concepts, drafts, and rejected designs remain the intellectual property of Vesa Studios
• Third-party assets (stock images, fonts, icons) are subject to their respective licenses and are the client's responsibility to license for their own use
• Source files (e.g., Adobe Illustrator .ai files) will only be shared if explicitly agreed upon and may carry an additional fee

You may not resell, redistribute, or claim as your own any design work from Vesa Studios that has not been fully paid for.

Vesa Studios treats all client information — including business details, strategies, and project briefs — with strict confidentiality.

• We will not share your project details, content, or business information with third parties without your consent
• Portfolio display is the only exception — if you wish to keep your project private, please inform us in writing before the project begins
• Clients are also expected to keep all pricing, processes, and proprietary methods of Vesa Studios confidential

Project timelines are estimated at the start of each engagement and are contingent on timely feedback and payment from the client.

• Standard turnaround for logo design: 3–7 business days after advance payment
• Website design timelines vary by project complexity — typically 7–21 business days
• Delays caused by slow client feedback or late payments will not be counted against our delivery timeline
• Vesa Studios is not liable for delays caused by third-party platforms, hosting providers, or force majeure events

Final files are delivered digitally via Google Drive, WeTransfer, or WhatsApp as agreed.

To ensure a smooth project experience, clients are expected to:

• Provide all necessary materials (text, images, references) promptly at the start of the project
• Respond to feedback requests and questions within 3 business days
• Ensure all content provided is legally owned or licensed by the client
• Not hold Vesa Studios liable for any copyright issues arising from client-provided materials
• Review all deliverables thoroughly before approving — post-approval changes may incur additional charges

Vesa Studios provides design and digital services in good faith. However, we are not liable for:

• Any business outcomes, sales figures, or results arising from the use of our designs
• Technical issues, downtime, or errors on third-party platforms or hosting services
• Any indirect, incidental, or consequential damages arising from use of our deliverables
• Loss of data due to client-side issues or third-party failures

Our total liability in any circumstance shall not exceed the total amount paid by the client for the specific project in question.

We understand that circumstances can change. Our cancellation policy is as follows:

• Before work begins: Full advance refund minus any administrative fees
• After work has begun: No refund on the advance payment; work completed up to cancellation will be billed accordingly
• After project completion: No refunds once final files have been delivered and approved
• Cancellation requests must be submitted in writing via email or WhatsApp

Vesa Studios reserves the right to terminate a project if a client behaves abusively, fails to pay, or breaches these terms. In such cases, no refund will be issued for work already completed.

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or from any project engagement with Vesa Studios shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

Vesa Studios makes no representation that the services described on this website are appropriate or available in locations outside India.
